Terms and Conditions

These terms and conditions set out a license and its terms to use the Platform. On the Platform you can offer your yoga retreats, workshops and/or other events to Liforme's individual users. Your acceptance of these terms and conditions is necessary before you can use the Platform as an Event Provider and/or offer your services to Liforme’s individual users.

Please carefully read the terms and conditions, to ensure you fully understand the rights and obligations you have in relation to your use of the Platform.

1. General

  1. In these Terms and Conditions, the terms indicated with a capital, whether single or plural, will have the meanings set out in clause 2 hereof.
  2. These Terms of Use apply to the Event Provider's use of the Platform, and govern the relationship between the Event Provider and Liforme in relation thereto.
  3. Liforme is entitled to amend or supplement these Terms and Conditions at any time. The most up-to-date Terms and Conditions can always be found on the Platform and/or Website. The amended or supplemented Terms and Conditions will be brought to the Event Provider 's attention during the Event Provider 's use of the Platform. By continuing its use of the Platform, the Event Provider accepts the amended Terms and Conditions. If the Event Provider does not agree to the amended Terms and Conditions, it can terminate the Agreement and its Account in accordance with clause 8.
  4. Additions and/or amendments to these Terms and Conditions are only valid when confirmed in advance in writing by Liforme.

2. Definitions

  1. In these Terms and Conditions, the following terms, indicated with a capital, whether single or plural, will have the following meaning:

    Account
    an account through which an Event Provider may, via the Website, publish and manage such Event Provider’s listings on the Platform;

    Agreement
    the agreement between the Event Provider and Liforme, on the basis of which the Event Provider can use the Platform and to which these Terms and Conditions apply;

    Content
    all information made available by an Event Provider in relation to listings it lists on the Platform, whether within the Event Provider’s Account and/or listings;

    Event Provider
    the party that wishes to offer its listings to Users and has, to that end, entered into an Agreement, created an Account and has accepted these Terms and Conditions;

    IP Rights
    all intellectual property rights and associated rights, including copyrights, trade mark rights, patent rights, design rights, trade name rights, database rights, and neighbouring rights, as well as rights to knowhow;

    Login Details
    the combination of the username and password generated when entering into the Agreement, with which the Event Provider can access its Account;

    Reservation
    the binding agreement between an Event Provider and a User regarding the purchase of one or more listings, which comes in effect after the acceptance of an listing by a User, subject to the Event Provider's terms and conditions;

    Party/Parties
    the Event Provider and/or Liforme;

    Platform
    Liforme's ‘Yoga Retreats and Events Guide’ platform (as the same may be renamed or alternatively described by Liforme at any time) where the Event Provider can create an Account and make available listings to Users, from which listings Users can link directly to the Event Provider’s website in order to learn more about a specific event(s) and/or to make bookings;

    Privacy Policy
    the privacy policy of Liforme that can be accessed through this hyperlink

    Liforme
    The limited liability company Liforme Ltd., incorporated under the laws of England, registered in England and Wales. Liforme’s registered office is Unit A 10 Belmont Street, London NW1 8HH.

    Terms & Conditions
    these terms and conditions relating to the use of the Platform;

    User
    the individual that makes use of the Platform and is able to, among other things, view the Event Provider 's listings and click to link through to the Event Provider’s website;

    Listing
    a specific retreat, teacher training, workshop and/or other event or trip published on the Platform as a listing;

    Website
    The website through which the Platform is hosted, and/or other websites related to Liforme including all underlying web pages.

3. Account

  1. In order to make use of the Platform, the Event Provider shall enter into an Agreement with Liforme, to which Agreement these Terms and Conditions apply. By following and completing Liforme's registration process, Event Provider thereby enters into such Agreement with Liforme. The Event Provider warrants that all information provided during this process is up-to-date, correct and complete. If any data or information submitted by the Event Provider is at any point no longer up-to-date, correct or complete, the Event Provider shall modify or complete the required data. The Event Provider may only register an Account in its own name, and not on behalf of another entity or person.
  2. The Event Provider shall be required to enter all information requested and/or deemed necessary by Liforme in order to create a listing on the Platform.
  3. The Event Provider is at all times responsible and liable for the use of the Platform by third parties through its Account. The Event Provider indemnifies Liforme against any and all damage and costs arising from and/or related to the access to and/or the use of the Platform by third parties through the Event Provider's Account.

4. Use of the Platform

  1. Subject to and conditional upon the Event Provider’s compliance in full with all the Event Provider’s obligations pursuant to these Terms and Conditions, Liforme will grant the Event Provider a limited, personal, revocable, non-exclusive, non-sublicensable and non-transferable right to use the Platform in accordance with (i) these Terms and Conditions (as the same may be modified in Liforme’s absolute discretion) and/or (ii) with any other usage requirements which Liforme may in its absolute discretion impose.
  2. The Event Provider accepts that it uses the Platform at its own risk and responsibility. Liforme shall not be liable on any grounds for any damages incurred through any act related to the Event Provider’s listings on and/or use of the Platform, including but not limited to Liforme having no liability to the Event Provider whatsoever for any direct damage, indirect loss, consequential loss, loss and/or damage of Content, loss of data/software, loss of profit and/or loss of revenue, loss of savings, reduced goodwill, damage by business interruption and damage as a result of claims from third parties.
  3. Liforme is at all times, without in any way becoming liable to the Event Provider, entitled to make procedural and technical alterations and/or improvements to the Platform.
  4. The Event Provider is solely responsible and liable for Content and the storage and processing of the personal data of Users with whom the Event Provider connects via the Platform.
  5. Liforme may at any time impose quality standards upon the Event Provider, including but not limited to standards regarding technical requirements, information level and requirements regarding the Listings and/or services offered by the Event Provider to Users. Liforme may at any time amend or supplement these standards and can at its sole discretion temporarily or permanently block or remove the Event Provider 's listings if these standards are not met.
  6. The Event Provider is not entitled to:
    1. make Content available that is in any way unlawful or infringes the rights of Liforme and/or third parties, including but not limited to IP Rights and rights that relate to data protection and/or the protection of privacy;
    2. reproduce or decompile the Platform or to apply reverse engineering to it, unless permitted by mandatory law;
    3. make Content available that harms the interests and reputation of Liforme;
    4. deliberately involve false or misleading information; and/or
    5. violate minimum quality standards communicated by Liforme from time to time.
  7. Liforme reserves the right to modify, refuse or delete Content, in particular in but not limited to the event such Content is unlawful or violates any third party right, these Terms and Conditions or any legislation or does not meet Liforme's minimum quality standards.
  8. If the Event Provider is of the opinion that certain content offered by another Event Provider or that is otherwise available on the Platform infringes its rights and/or the rights of a third party, the Event Provider shall notify Liforme thereof.
  9. If the Event Provider wishes to amend a Listing after it has been posted on the Platform, the Event Provider shall follow any then available process on the Platform to amend a Listing, or in the absence of such process on the Platform the Event Provider should contact Liforme in writing by email to: [email protected], setting out full details of amendments needing to be made.

5. Payment

  1. The use of the Platform by the Event Provider and the posting of Listings is free of charge.

6. IP Rights

  1. No transfer of IP Rights is constituted by these Terms and Conditions. The Event Provider is solely granted a license as described in clause 3.1. The IP Rights with regard to the Platform and all materials, look-and feel and other texts, images, videos and information made available thereon, including the Website but excluding the Content, are held by Liforme or its licensor(s).
  2. All IP Rights in relation to the Content will remain vested in the Event Provider. The Event Provider acknowledges and accepts that by making the Content available, it automatically and free of charge grants Liforme an unlimited, worldwide, non-exclusive, sublicensable and transferable right to reproduce the uploaded Content and make the Content available on the Platform, including the right to use (parts of) the Content, the Event Provider's name and/or logo for promotional purposes and other services in connection with the Platform.
  3. The Event Provider shall refrain from any act that infringes the IP Rights of Liforme, including but not limited to the registration of domain names, trademarks or pay per click advertising search terms that are identical or similar to any object in or to which Liforme holds IP Rights, as well as the reproduction, modification, reverse engineering or publishing of the Platform, including the Website, for other purposes than those listed in the Agreement or those permitted by mandatory law.
  4. The Event Provider is not permitted to remove, make illegible, hide or modify notifications or statements with regard to IP Rights.

7. Personal Data

  1. By using the Platform, the Event Provider may provide personal data to Liforme. Liforme shall process such data in accordance with all legal obligations regarding the processing of personal data. Liforme only uses your personal data in accordance with the Privacy Policy.
  2. Via its use of the Platform, the Event Provider may receive personal data of Users. The processing of such personal data is the sole responsibility of the Event Provider. The Event Provider warrants that it shall at all times comply with laws and regulations regarding the processing of personal data. The Event Provider indemnifies Liforme from and against all claims by Users and/or third parties which are in any way related to the processing by the Event Provider of personal data received via the Platform and/or the Website.

8. Duration and termination

  1. The Agreement between the Event Provider and Liforme shall commence when the Event Provider creates its listings. The Event Provider may, at any time terminate the Agreement, by requesting Liforme to remove its listings, in which case its listings shall no longer be available to the Users.
  2. The Event Provider acknowledges and accepts that the termination of the Agreement has no effect on any Reservation made by Users and that the Event Provider shall remain responsible for correctly implementing such Reservation(s).
  3. In the event of termination of the Agreement, there will be no reversal of that which Liforme has already delivered and/or carried out, unless the Event Provider proves that Liforme is in default in respect of the material part of such performance.
  4. Liforme is at all times entitled to restrict the use of or terminate the Event Provider's listings if Liforme in its absolute discretion deems that there are grounds to do so. Liforme shall not be liable at any time to pay any compensation to the Event Provider in such cases. Liforme shall, in particular, invoke this right if Liforme is of the opinion that i) the quality of the Event Provider's service towards Users is substandard, ii) if Liforme receives notice or has knowledge that Content infringes upon or violates the IP Rights and/or any other rights of a third party, or iii) the Event Provider violates any (other) provision of these Terms and Conditions.
  5. In the event the Agreement is terminated, for whatever reason, Liforme remains entitled to use the Content submitted by the Event Provider. Liforme will however, as soon as reasonably practicable following the written request of the Event Provider, remove or (where applicable) anonymize the Content.
  6. Clauses 4.2. (Limitation of Liability), 6 (IP Rights), 7 (Personal data),, 9 (Warranties and Indemnifications) and 10 (Miscellaneous) shall survive such termination.

9. Warranties and indemnifications

  1. Except as expressly provided in these Terms and Conditions, Liforme makes no warranties of any kind, whether express, implied, statutory or otherwise, including but not limited to any warranties of merchantability or fitness for a particular purpose, quality, safety, integrity or accuracy of the Platform, nor the continued and correct availability of the Platform or the Content, or the constitution of any agreements. Furthermore, Liforme does not guarantee that the Platform shall lead to successful experiences, nor does Liforme make any guarantees as to the behaviour of Users in their dealings with the Event Provider.
  2. The Event Provider is fully responsible and liable for the conclusion and performance of agreements between the Event Provider and a User, including any payment obligation of a User related to any Reservation. The Event Provider fully and effectually indemnifies Liforme from and against any and all claims of Users that relate in any way to this Agreement and/or the Platform.
  3. The Event Provider is liable for and fully and effectually indemnifies Liforme from any damages and costs which Liforme suffers or makes as a result of (i) an attributable breach by the Event Provider of the Agreement or any other agreement between the Event Provider and Liforme, such as these Terms and Conditions, (ii) an infringement or alleged infringement of IP Rights or any other rights by the Event Provider, including the rights of Users with respect to personal data and/or privacy, (iii) any use the Event Provider makes of the Platform or (iv) an unlawful act or negligent omission by the Event Provider or anyone acting on their behalf. All costs and damages that in any way relate to such a claim will be reimbursed by the Event Provider to Liforme.
  4. The Event Provider warrants that:
    1. it has the full legal power and authority to enter into the Agreement and shall use the Platform under the conditions as set out in these Terms and Conditions;
    2. it has the full legal power and authority make the Content available through the Platform and provide the license as mentioned in clause 4.1;
    3. the Content is factually accurate, complete, unencumbered and not limited or restricted by any third parties' rights, including IP Rights;
    4. the Content does not infringe upon any third parties' rights, including IP Rights, and that the use of the Content is not in any other way unlawful towards third parties;
    5. any Listing posted by the Event Provider shall at all times comply with all laws and regulations and gives a factually accurate and reasonable representation of the actual event offered by the Event Provider;
    6. it shall at all times comply with these Terms and Conditions.

10. Miscellaneous

  1. Liforme may assign rights and obligations arising from these Terms and Conditions to third parties and will notify the Event Provider in the event of this. The Event Provider is not permitted to transfer any right derived from an Account to third parties without Liforme's prior written consent
  2. If at any time any provision of these Terms and Conditions is or becomes illegal, void or invalid for any reason whatsoever, such invalidity shall not affect the validity of the remainder of these Terms and Conditions and such invalid provision shall be replaced by another provision which, being valid in all respects, shall have an effect as close as possible to that of the replaced provision.
  3. These Terms and Conditions and the use of the Platform are governed by English law.
  4. The Parties hereby submit to the exclusive jurisdiction of the courts of England.
